Terms of Service
These Terms govern access to and use of MIGS, the Master Invoice Generation System operated by Development HQ AI Engineering Studio.
Purpose of MIGS
MIGS is an invoice-generation and invoice-package presentation service. It is not bookkeeping, accounting, tax, legal, appraisal, or financial-advisory software.
Your responsibilities
You are responsible for the accuracy, legality, and completeness of information you enter, including prices, taxes, client information, payment instructions, project descriptions, market-reference evidence, branding, receipts, photographs, and other proof images. You must have the right to upload and share any image or document you attach.
Fair-market information
MIGS can organize market ranges, sources, URLs, research dates, and user-supplied benchmarks. MIGS does not guarantee that a benchmark represents the only correct market value or that a price is acceptable to every customer or jurisdiction.
AI-assisted content
AI may help draft summaries, scope descriptions, pricing explanations, and receivables classifications from information you provide or authorize a connected source to provide. You must review generated content and invoice candidates before authorizing customer delivery. AI output should not be treated as independent professional advice or an appraisal.
Autonomous Invoice Agent approval
The Autonomous Invoice Agent is designed to reduce repetitive billing work, not remove business approval. Connected records may be discovered and classified automatically, but MIGS does not independently invent charges. The invoicing business remains responsible for approving invoice creation, verifying customer/contact information, amounts, taxes, terms, and any source-system data before customer delivery.
Automated follow-up
When enabled, MIGS may send recurring unpaid-invoice reminders according to the user's configured cadence after an invoice has been approved and sent. The user is responsible for choosing an appropriate reminder cadence, pausing disputed accounts when necessary, maintaining accurate payment status, and complying with applicable contracts, laws, and communication requirements.
Subscriptions
Paid access is governed by the pricing and billing terms shown when you subscribe. MIGS subscription charges are payments for access to the MIGS software and are separate from customer invoice payments. Paid features may be suspended if a subscription becomes past due, canceled, revoked, or otherwise inactive.
MIGS Connect API use
MIGS Connect provides organization-scoped API access for approved applications. You are responsible for protecting API credentials, assigning only necessary scopes, separating test and live credentials, rotating or revoking compromised credentials, and ensuring connected applications send only data they are authorized to process. Automated access is subject to rate limits, usage limits, audit logging, idempotency requirements, and other security controls.
Source-system responsibility
A connected application remains responsible for the accuracy and authorization of source records it sends to MIGS. MIGS may retain source-record identifiers and provenance links so an invoice can be traced back to the application and business record that created it.
Webhooks
MIGS Connect may deliver signed webhook events to endpoints configured by an authorized organization user. You are responsible for securing the receiving endpoint, verifying MIGS webhook signatures, preventing replay, and keeping webhook signing secrets confidential.
Customer invoice payments and no funds custody
MIGS provides invoice presentation, payment instructions, payment-status workflows, and payment-record tools. MIGS and Development HQ do not hold, pool, pull, transfer, redistribute, or make customer invoice payments on behalf of a MIGS user or that user's customer. The invoicing business and its customer remain the parties responsible for the underlying payment transaction and related communication.
Processor-confirmed payments
When an eligible connected payment processor is used, MIGS may receive payment-status information from that processor and use it to update the invoice record. MIGS receiving a status confirmation does not mean MIGS took custody of the underlying funds.
Manual external payments
Cash App, Chime, PayPal links, cash, checks, and other external payment methods occur outside MIGS. The invoicing business is responsible for confirming receipt and accuracy before recording the payment as received or applying a PAID status in MIGS.
Acceptable use
Do not use MIGS for fraud, impersonation, deceptive billing, unauthorized data processing, unlawful invoicing, malware, abuse, or attempts to bypass account, usage, or security controls.
Availability
MIGS is provided on an as-available basis. Features may be improved, changed, or retired as the product evolves.
Limitation
To the extent permitted by law, MIGS and its operator are not responsible for business decisions made solely from AI-generated text, unsupported market estimates, customer-entered data, or third-party service interruptions.
Termination
Accounts may be suspended or terminated for abuse, nonpayment, security risk, or material violation of these Terms.
